- Service Inclusion: We provide subdomain hosting (e.g.,
yourname.bizd.co.uk) or DNS connection for your custom domain, standard SSL encryption, and basic technical support to ensure the server remains operational. - Server Maintenance & Uptime: While we utilize robust, industry-standard cloud infrastructure (such as AWS, Cloudflare, or Vercel edge networks), we do **not** guarantee 100% uninterrupted server uptime. We reserve the right to perform necessary scheduled maintenance, security patches, or emergency server migrations without incurring liability for temporary service suspension.
4. Client Content, Copyright & Full Indemnification

You legally warrant and represent that you are the absolute owner of, or hold valid licenses to use, all intellectual property, text, logos, trademarks, and images incorporated into your website. You explicitly agree to **fully defend, indemnify, and hold harmless UK Business Sites**, its developers, owners, and affiliates from and against any and all legal claims, demands, lawsuits, damages, legal fees, copyright infringement penalties, GDPR penalties, or defamation suits arising out of or related to any content, materials, or claims displayed on your website.
5. Absolute Limitation of Liability & Waiver of Revenue Claims
To the absolute maximum extent permitted by the laws of England and Wales, UK Business Sites shall **under no circumstances whatsoever** be liable to the Client or any third party for any direct, indirect, incidental, special, punitive, exemplary, or consequential damages arising out of or connected to our website builds, hosting services, PDF guides, or service interruptions.
This comprehensive limitation of liability explicitly includes, without limitation, total waiver of claims regarding:
- Loss of Business & Revenue: Loss of actual or anticipated profits, sales, revenue, business contracts, customer inquiries, commercial goodwill, or reputation.
- SEO & Search Engine Rankings: Fluctuations, drops, or failures to achieve specific search engine rankings on Google, Bing, or AI search engines. We make zero warranties regarding traffic volumes or conversion performance.
- Third-Party Infrastructure Failures: Outages, data loss, hacking incidents, DNS propagation failures, domain expiration, or billing disputes caused by third-party platforms (including Vercel, Netlify, Cloudflare, Google Drive, domain registrars, or internet service providers).
- Business Interruption: Any losses incurred while a website is offline, undergoing maintenance, or during domain transfer procedures.
In any event where UK Business Sites is nevertheless found legally liable by a court of competent jurisdiction, our total aggregate liability for any and all claims arising under or related to these Terms shall be strictly capped at the total financial amount actually paid by the Client to UK Business Sites in the preceding twelve (12) months. For clients utilizing our Free Files (£0 tier), our total liability shall be strictly defined as **£0.00 (Zero Pounds Sterling)**. For Starter clients, our liability shall never exceed **£29.00**.
6. Business Verification & Right of Refusal
We operate a strict anti-spam quality verification protocol. We reserve the absolute right to refuse service, reject inquiry submissions, cancel website builds, or terminate managed hosting at our sole discretion without refund, compensation, or liability under any of the following circumstances:
- Failed Verification: The business cannot be verified on UK Companies House records or does not possess an active, legitimate Google Business Profile.
- Illegal or Prohibited Content: The business promotes or engages in unlawful activities, adult entertainment, gambling without UKGC licenses, hate speech, counterfeit goods, or multi-level marketing scams.

7. Payment Terms, Auto-Renewal & Refund Policy

- Recurring Subscription: The £29/year Starter package is billed annually in advance as a recurring subscription to cover server provisioning, subdomain registration, SSL maintenance, and support.
- Strict Refund Policy (Skilled Labor Exemption): Because website development involves the immediate expenditure of non-recoverable skilled human engineering labor and instant cloud server allocation, **all subscription fees (£29/year) are strictly non-refundable once website development has commenced, files have been delivered, or a live preview link has been provided to the Client**, except where explicitly mandated by UK consumer protection law.
- Cancellation Procedure: You may cancel your annual managed hosting subscription at any time by sending written email notice to hello@ukbusinesssites.co.uk at least **fourteen (14) days** prior to your annual billing renewal date. Upon cancellation, your site will remain live until the end of your paid billing cycle, after which hosting will terminate. You retain ownership of your HTML code files.
8. Force Majeure
UK Business Sites shall not be held liable or responsible for any failure or delay in fulfilling our obligations under these Terms if such failure arises from acts beyond our reasonable control ("Force Majeure Event"). This includes, without limitation: acts of God, natural disasters, war, terrorism, civil unrest, labor strikes, government sanctions, telecommunications failures, regional power grids collapses, or wide-scale cloud infrastructure outages (e.g., AWS, Cloudflare, or Google global outages).
9. Severability & Entire Agreement
If any provision or clause of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that specific provision shall be modified to the minimum extent necessary to make it enforceable, or severed entirely, and all remaining provisions of these Terms shall remain in full legal force and effect. These Terms, alongside our Privacy Policy, constitute the entire agreement between you and UK Business Sites regarding our services.
10. Governing Law & Exclusive Jurisdiction
These Terms and Conditions, and any non-contractual disputes or claims arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of **England and Wales**. Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising from this legal agreement.
